Do you know the requirement to open a Hong Kong company?

To form a company in Hong Kong, all you need is a copy of your passport and to find someone to act as your registered office. There a lot of law firms, accountants, and CSPs that offer this.


For bank account, you need to either visit Hong Kong in person or use a nominee director, based in Hong Kong, who will open the company account.


Some banks, such as Bank of China, permit remote account opening if you are in mainland China.
 
Capital and shareholders


Every company must be incorporated with a minimum authorised capital of HK$10,000 and a minimum issued capital of HK$1.00. The authorised share capital may be increased but capital duty at the rate of 0.1% is payable above HK$10,000. Every Hong Kong company must have at least one shareholder, who does not need to be a Hong Kong resident and can be either an individual or a corporation. There is no specific requirement on the debt to equity ratio so a company can carry on business with as little as HK$1.00 in issued capital. Directors


Every Hong Kong company must have at least one director who does not need to be a Hong Kong resident and can be either an individual or a corporation. We would be pleased to provide professional director services if required. Please contact us for further information as conditions apply.


Company Secretary


The company must have a company secretary who is either an individual who ordinarily resides in Hong Kong or a body corporate with its registered office or place of business in Hong Kong. The company must keep its statutory books such as the register of members and the register of directors, etc together with minute books at its registered office. Each year, a company must record minutes of its annual general meeting (“AGM”) at which the audited accounts are presented, the directors re-elected and the auditors re-appointed, etc. It must also file a return with the Companies Registry of its present company structure at the anniversary date of its incorporation. Our company can act as the nominated secretary and attend to the preparation of the AGM documents and filing of the Annual Return.


Registered Office


A Hong Kong company must have a registered office in Hong Kong. Our office may be used as the company’s registered office.


Accounting, Auditing and Tax Compliance


By law, a Hong Kong company is required to prepare annual accounts which must be audited by a Certified Public Accountant (“CPA”). It is also required to attend to various tax filing matters such as Profit Tax Returns and Employer’s Tax Returns. We can assist with the preparation of statutory accounts. Our affiliated audit firm and our Tax Advisory Division, can act as the auditor and tax representative respectively.


Business Registration


Every company must register with the Business Registration Office and pay the Business Registration Fee on the anniversary of its date of incorporation.
 
HK Company Formation


Forming a HK company can be undertaken without entering HK. We (Spammed advertising, 1 infraction) are a corporate services provider in HK and can undertake the formation of your company and act as company secretary to ensure the on-going requirements are met.


We can also introduce you to banks to open a bank account. Although banks do prefer to meet their clients, it is in fact possible to open an account without going personally to the bank in HK.

Property develoment


Dear all,


I am presently considering investing in overseas property to gather rental income with properties primarly in the US. I have read with interest the posts about companies formed in Cyprus to minimise tax liability and wondered would this make up work for a property investment business? I am also looking to encompass some consulting services I provide in UK and a new property development business in UK into the structure. Any advice would be appreciated.
